The seller delivers by placing the goods at the buyer’s disposal at the seller’s own premises — the factory, the workshop, the warehouse — and does nothing else. It does not load them onto the collecting vehicle. It does not clear them for export. It does not arrange carriage. Risk passes at the moment the goods are placed at the buyer’s disposal, and from that point every cost and every risk belongs to the buyer.

That is a coherent arrangement when the buyer is a domestic trader who will collect the goods from a yard it knows, with its own transport and its own ability to deal with any formalities. It becomes a problem the moment the buyer is on the other side of a border, because the buyer then has to do things in the seller’s country that a foreign buyer usually cannot do — starting with the export declaration. The rule is not defective; it is simply the wrong tool for a large share of the sales it gets used on.

This guide covers what the EXW Incoterms rule means, what each side actually owes, why the loading obligation is the one most often got wrong, why export clearance makes EXW awkward for international sales, how EXW compares with FCA, DAP and DDP, when the rule genuinely fits, and where it causes losses.

What EXW means under the rules

Ex Works is a delivery term of the minimum-obligation type. The seller performs by making the goods available, at the named place, for the buyer to take away. The named place is normally the seller’s own premises, and where it is, the essentials are settled by the word “works” alone. Where the named place is somewhere else — a warehouse the seller does not own, for example — the same logic applies but the place has to be identified precisely, because the seller’s only real duty is to have the goods ready there.

Two features follow from that. The seller is under no obligation to load the goods onto whatever the buyer sends to collect them. And the seller is under no obligation to clear the goods for export. Both of those are the buyer’s work, and both are the source of nearly every EXW dispute.

The rule works for any transport mode, because it says nothing about carriage. That is why EXW appears so often in quotations and price lists — it is the price of the goods at the seller’s door, with everything else stripped out. The “ex works price” in a commercial quotation is exactly this: a figure that excludes transport, insurance, clearance and duty, and that is why it is the highest-priced-for-least-service arrangement the seller can offer.

What the seller actually owes under EXW

The list is short, and it is worth stating in full because sellers routinely do more than it requires — and then find that the extra work is not covered by anything.

The seller must provide goods conforming to the contract and a commercial invoice, together with any proof of conformity the contract requires. It must package the goods appropriately where the contract contemplates packaging, keeping in mind that the goods are about to be collected and moved by someone else. It must place the goods at the buyer’s disposal at the named place on the agreed date, and give the buyer enough notice to collect them. And it must, at the buyer’s request, risk and cost, assist the buyer in obtaining any export document the buyer needs — for example information required for an export declaration. That assistance obligation is real but it is secondary: it is the buyer’s document, obtained at the buyer’s cost, with the seller lending the information only the seller can supply.

What is not on the list is as important. There is no obligation to load. There is no obligation to contract for carriage. There is no obligation to clear the goods for export, and there is no obligation to insure them. A seller that performs all four of those tasks anyway has moved a long way towards FCA or beyond while still pricing on EXW.

What the buyer owes under EXW

The buyer’s obligations are the mirror image and they are extensive. The buyer must take delivery at the named place as soon as the goods are placed at its disposal, load them onto the collecting vehicle, and carry out and pay for export clearance where the destination requires it. The buyer then arranges and pays for the entire carriage, including any onward leg to a port or terminal, and handles import clearance, duty and taxes at the far end.

Risk passes to the buyer when the goods are placed at its disposal. That means the buyer bears the loss if the goods are damaged during loading — an operation the buyer is responsible for performing but which physically takes place at the seller’s premises, often with equipment the buyer has sent in. It also means the buyer carries the entire transit risk, without any obligation on the seller to provide insurance, which is a reason to look carefully at the delivery rule whenever the goods are valuable and the buyer has assumed that cover exists.

A buyer that cannot perform the export formalities in the seller’s country has, in effect, taken on an obligation it cannot discharge. That single fact is the reason the general guidance for international sales points away from EXW and towards FCA.

Loading: the obligation almost everyone gets wrong

Under EXW the seller does not load the goods onto the collecting vehicle. The goods have to be placed at the buyer’s disposal in a condition in which the buyer can take them, and getting them from the yard onto the truck is the buyer’s job.

In practice, sellers load. The buyer’s driver arrives, the yard has a forklift and an operator, and it is far quicker to put the pallets on than to explain that the rule says otherwise. Nothing wrong with that — except that the contract has not changed. Loading is still the buyer’s obligation, and where a load is dropped during the lift, the starting position is that the risk had already passed and the loss is the buyer’s. A seller that wants to load, and to be clear about who bears loss during the lift, has to say so in the contract rather than assume the courtesy changes the rule.

The same analysis explains why EXW is a poor fit for anything the seller has to handle specially. A machine that can only be loaded with the seller’s own crane, a consignment that has to be strapped in a particular way, a load that needs the seller’s packers present — all of those are operations the seller controls and the buyer is nominally responsible for. Where the physical reality requires the seller to be involved, the honest rule is one that puts the obligation where the capability is, and that is FCA with the named place at the seller’s premises.

Export clearance: why EXW is awkward across a border

The structural problem with EXW in international trade is the export declaration. Under the rule, export clearance is the buyer’s responsibility. Where the seller and the buyer are in the same country, that is entirely workable. Where the buyer is abroad, it generally is not: a foreign party typically cannot make an export declaration in the seller’s country, has no registration there, and may not even be permitted to engage with the authority that requires one.

That leaves the parties with three options, none of them ideal. The seller can do the exporter’s work voluntarily, without any obligation to do so and without any clear basis for charging for it. The buyer can appoint someone in the seller’s country to act, adding a party and a cost to a transaction that was supposed to be the simplest one available. Or the parties can use the wrong rule and discover the problem at the border, with the goods sitting at the seller’s premises and a truck waiting.

The rule that resolves this is FCA, not because FCA is more modern but because it puts export clearance with the seller, where the ability to perform it actually sits. Our guide to FCA covers how the rule works, including the difference between naming the seller’s premises and naming another place — a distinction that decides whether the seller or the buyer does the loading.

EXW, FCA, DAP and DDP compared

EXW

FCA

DAP

DDP

Who loads at origin

Buyer

Seller, where the named place is the seller’s premises

Seller

Seller

Who clears for export

Buyer

Seller

Seller

Seller

Who arranges main carriage

Buyer

Buyer

Seller

Seller

Who clears for import and pays duty

Buyer

Buyer

Buyer

Seller

Where risk passes

When the goods are placed at the buyer’s disposal, unloaded

When the goods are handed to the buyer’s carrier

At the named place of destination, ready for unloading

At the named place of destination, after import clearance

Seller’s insurance obligation

None

None

None

None

Suits an international sale

Poorly

Well

Well

Only with destination capability

Read the first two rows together and the shape of the spectrum appears. EXW is the only rule in which the buyer loads and clears for export. FCA moves both of those to the seller while still leaving the main carriage and the import side with the buyer. DAP moves the carriage to the seller. DDP moves the import clearance and the duty as well. EXW and DDP are the two ends of the same scale — the minimum and the maximum seller obligation — and everything else sits between them.

For a cross-border sale the practical choice is usually between FCA and DAP, with EXW reserved for the cases described below. Our guides to the DAP Incoterms rule and to CIF cover the delivered end of the scale, and the Incoterms® 2020 Selector maps each rule to its obligations if the choice is still open.

When EXW fits, and when it does not

EXW fits a domestic sale, or a sale in which the buyer is established in the seller’s country and collects regularly. It fits the sale of a used machine to a dealer who will dismantle and remove it. It fits the quotation stage, where a buyer asks for a price at the seller’s door precisely because it wants to compare the goods themselves and handle everything else under its own contracts. And it fits a buyer with a subsidiary or a buying agent in the seller’s country, because then the export formalities have somewhere to land.

EXW fits poorly wherever the seller’s own capability is needed to make the delivery work. Where the seller has the loading equipment and the buyer does not, EXW creates a gap. Where export formalities are required and the buyer is foreign, EXW creates an obligation the buyer cannot perform. Where the goods are valuable and the buyer assumes the seller has arranged cover, EXW quietly leaves the risk uninsured, because no rule in this family obliges the seller to insure except the two cost-and-insurance rules at the other end of the spectrum.

The test is not which rule is cheaper to write into the contract, but which party can actually perform each obligation. EXW assigns work to the buyer on the assumption that the buyer can do all of it, and where that assumption is wrong, the contract is wrong.

Where EXW goes wrong

• Assuming the seller loads. Under EXW the buyer loads. Sellers that help anyway should record who bears loss during the lift rather than leave it to be argued later.

• Using EXW with a foreign buyer who must clear export. The buyer usually cannot file an export declaration in the seller’s country. Where formalities are required, FCA puts them with the party that can perform them.

• Pricing on EXW and delivering on FCA. Loading, export clearance and documentation are all buyer obligations under EXW. A seller that performs them without repricing has given away work it was never obliged to do.

• Leaving the named place vague. “EXW our factory” is not a place if the seller has several. The disposal point fixes where risk passes and where the buyer’s loading obligation begins.

• Expecting the seller to provide export documents. The seller must assist at the buyer’s request and cost, but the documents are the buyer’s and the cost is the buyer’s. A contract that assumes otherwise is asking for something the rule does not give.

• Assuming insurance exists. No rule in the EXW family obliges the seller to insure. The buyer carries the whole transit risk and has to arrange its own cover.

• Not naming the rule version. A clause that simply says EXW leaves the obligations to be inferred. “EXW [named place] — Incoterms 2020” costs nothing and removes the question.

What to do next

Decide first whether the buyer can actually perform the buyer’s side. Two questions settle it: can the buyer load the goods with its own equipment, and can the buyer make an export declaration in this country. If the answer to either is no, EXW is the wrong rule and the right one is FCA with the named place at the seller’s premises.

Then fix the place and the version. A named place is what turns “EXW” from a label into a delivery point, and it is the point at which risk passes. Write it as an address or a named facility, and write the version alongside it.

Then check that the rest of the file agrees, because an EXW sale leaves the seller as a supplier of goods rather than as an exporter, and the paperwork has to reflect that. Where the seller is assisting with export data at the buyer’s request, that assistance should be visible in the contract and in the document set — our guide to shipping documents for export sets out what travels with a shipment and who normally produces each item. Where the buyer is comparing prices, the difference between an ex works figure and a delivered figure is the whole of the freight, the clearance and the duty, and the components are set out in our guide to what landed cost includes; the Landed Cost Calculator converts one into the other. And where the term is being settled as part of a wider agreement, delivery, payment and transport clauses are worth reading as one arrangement rather than three, see TradeShield Contract Risk Review.

EXW is not a bad rule. It is the most precisely limited one in the set, and its whole value is that it stops the seller’s obligation at the door. The mistake is using it for sales that need the seller to go further, and then discovering that the extra work was never in the price.

Where to use this next

Once the rule is chosen, its named place is where most practical disagreements begin. The Incoterms 2020 selector narrows delivery, cost, clearance and risk responsibilities to a shortlist, and the platform that keeps the agreed terms alongside the product, pricing and buyer information is described on the services page.

EXW deja la carga, el despacho de exportación y todo el transporte en manos del comprador.
