1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of TradeGoAI, including the website at tradegoai.app, the TradeGoAI application, and related services (collectively, the “Service”). The Service is operated by POPHAW LLC, a Delaware limited liability company (“TradeGoAI,” “we,” “us,” or “our”).

By creating an account, purchasing a plan or credits, or using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, and Refund & Cancellation Policy. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract. If you use the Service for a company or other organization, you represent that you have authority to bind that organization to these Terms.

You must provide accurate and current account information and protect your login credentials. You are responsible for activity under your account and for promptly notifying us of suspected unauthorized access.

3. The Service

TradeGoAI provides software, AI-assisted tools, data features, and related services for international trade and business workflows. Features and limits depend on the plan selected and may evolve over time. Information generated or displayed by the Service is provided to assist your work and should be independently reviewed before you rely on it for legal, financial, customs, compliance, or business decisions.

4. Purchases and Payment

When you make a purchase, you authorize us and our payment processor to charge the selected payment method for the disclosed amount, applicable taxes, and any recurring charges you expressly accept. You represent that you are authorized to use the payment method and that the billing information you provide is accurate.

Payments are processed by third-party payment processors such as Stripe. Available payment methods, billing currency, and applicable taxes are displayed before you confirm payment. We do not store full payment-card details.

5. Monthly Subscriptions and Automatic Renewal

Paid plans are monthly subscriptions that combine access to plan features with the number of credits included in the selected plan. Subscription fees are charged in advance at the beginning of each monthly billing period.

Your subscription renews automatically each month until canceled. By subscribing, you authorize the recurring monthly charge shown at checkout. After each successful renewal payment, your plan remains active for the new billing period and the included monthly plan credits are added to your account.

If a renewal payment fails, we may retry the payment, notify you, restrict paid features, or suspend the subscription until payment is completed. We will not issue the new billing period’s plan credits unless the applicable payment succeeds.

6. Credits

Plan Credits

Plan credits are usage units included with a paid monthly subscription. Unused plan credits may roll over for up to three full monthly billing cycles after they are issued, provided the subscription remains active. When a subscription ends, all remaining plan credits expire at the end of the current billing period, even if a credit batch would otherwise have remained valid longer.

One-Time Credit Purchases

Credits purchased separately are one-time purchases. They do not create, renew, upgrade, extend, or otherwise change a subscription. Their quantity, price, and validity period are disclosed at the time of purchase.

Free and Promotional Credits

Free, bonus, promotional, or redemption-code credits may be subject to campaign-specific eligibility, usage, and expiry conditions. They do not create or renew a subscription.

Credits are not money or stored value. They have no cash value, cannot be withdrawn, and may not be sold, transferred, or exchanged except where we expressly permit it. When credit batches have different expiry dates, the Service may use the credits that expire first. We may correct credit-accounting errors and remove credits obtained through fraud, abuse, duplicate issuance, payment reversal, or violation of these Terms.

7. Upgrades and Downgrades

  • Upgrades take effect immediately. The price difference and additional plan credits may be prorated for the remainder of the current billing period.
  • Downgrades take effect at the beginning of the next billing period. Your current plan remains active until then, and a downgrade does not generate a refund for the current billing period.

8. Cancellation

You may cancel your subscription at any time through the billing area of your account or by contacting [email protected]. You must cancel before the next renewal date to stop the next recurring charge.

Cancellation stops future renewals and takes effect at the end of the current billing period. You may continue using paid plan access until that date. Cancellation does not automatically refund the current billing period. The treatment of remaining credits is described in Section 6 and our Refund & Cancellation Policy.

9. Fees, Taxes, and Price Changes

Prices may exclude taxes unless stated otherwise. Applicable taxes and the final amount payable are displayed during checkout where supported by the payment provider.

We may change subscription prices or plan limits. For an existing subscription, we will provide reasonable advance notice of a material price change, and the change will apply no earlier than a future renewal. You may cancel before the new price takes effect.

10. Refunds and Statutory Consumer Rights

Payments are generally non-refundable after the applicable billing period or paid service begins, except where required by law or expressly stated in our Refund & Cancellation Policy.

If you purchase as a consumer, you may have mandatory cancellation, withdrawal, or refund rights under applicable law. Nothing in these Terms limits those rights. Consumers in the European Economic Area or the United Kingdom may have a statutory 14-day withdrawal right for an online service contract. The conditions and procedure for exercising that right are set out in our Refund & Cancellation Policy.

Statutory consumer protections generally do not apply when you purchase primarily for business, trade, craft, or professional purposes, unless applicable local law provides otherwise.

11. Communications

We may send transactional and service communications, including security notices, payment receipts, renewal notices, failed-payment notices, and subscription updates. Where permitted by law, we may also send marketing communications. You may opt out of marketing messages, but not essential service communications.

12. Acceptable Use

You must comply with our Acceptable Use Policy. You may not use the Service unlawfully, fraudulently, to send spam, to infringe rights, to compromise security, to disrupt the Service, to resell unauthorized access, or to evade plan, account, or credit limits.

Each user seat is intended for one authorized individual unless the applicable plan expressly provides otherwise. Excessive, abusive, automated, or abnormal usage may result in reasonable rate limits, restrictions, suspension, or termination.

13. User Content and AI-Assisted Output

You retain your rights in content you submit to the Service. You grant us the limited rights necessary to host, process, transmit, and display that content to provide, secure, and maintain the Service, subject to our Privacy Policy and applicable data-processing terms.

AI-assisted output may be incomplete, inaccurate, or similar to output provided to others. You are responsible for reviewing output and determining whether it is appropriate for your intended use. The Service does not provide legal, tax, financial, customs, or professional advice.

14. Third-Party Services

The Service may depend on or link to third-party services. Their availability and terms are controlled by their respective providers. We are not responsible for third-party websites, services, or content that we do not control.

15. Intellectual Property

The Service, including its software, design, branding, and platform content other than user-provided content, is owned by POPHAW LLC or its licensors and protected by applicable intellectual-property laws. These Terms grant only a limited, non-exclusive, non-transferable right to use the Service during the applicable access period.

16. Suspension and Termination

We may restrict, suspend, or terminate access when reasonably necessary to address a material breach of these Terms, payment failure, fraud, security risk, legal requirement, or harm to the Service or others. Where appropriate, we will provide notice and an opportunity to remedy the issue.

Termination for breach does not create a right to a refund, except where required by law. Provisions that by their nature should survive termination—including payment obligations, intellectual-property protections, disclaimers, and liability limitations—remain effective.

17. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that the Service will be uninterrupted, error-free, or suitable for every business purpose. Nothing in these Terms excludes warranties or guarantees that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by law, POPHAW LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity arising from use of the Service.

To the maximum extent permitted by law, our aggregate liability arising from the Service will not exceed the amount you paid to TradeGoAI during the 12 months before the event giving rise to the claim. These limitations do not apply where liability cannot lawfully be excluded or limited, including applicable mandatory consumer protections.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. If you are a consumer, this choice of law does not deprive you of mandatory protections available under the law of your country of residence.

20. Changes to These Terms

We may update these Terms to reflect changes to the Service, billing model, or legal obligations. We will post the revised Terms with an updated date and provide additional notice where required by law. Material changes to recurring subscription charges will apply only as described in Section 9.
